Terms Of Service

Introduction and Acceptance

Welcome to SkillRise (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our educational platform, website, and services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Definitions

“Student” refers to users accessing the Services to consume educational content, whether self-funded or funded by a Sponsor.
“Instructor” refers to subject matter experts who partner with SkillRise to create educational material, which is managed and uploaded by SkillRise Administrators.
“Sponsor” refers to third-party organizations (NGOs, Corporations) or individuals who provide financial support to cover the cost of courses for specific Students or groups of Students.
“User” refers collectively to Students, Instructors, and Sponsors.
“Content” refers to video courses, quizzes, assignments, text, and other educational materials available on the Services.

Account Registration and Security

Eligibility: You must be at least 18 years old to form a binding contract. If you are under 18, you may only use the Services with the consent of a parent or legal guardian.
Account Security: You are responsible for maintaining the confidentiality of your credentials. You must notify us immediately of any unauthorized use of your account.
Accuracy: You agree to provide accurate, current, and complete information during the registration process.

Specific Obligations by User Role

A. For Students

Academic Integrity: You agree not to engage in plagiarism, cheating, or dishonesty when completing courses or assessments.
Sponsored Students: If your account is funded by a Sponsor, you acknowledge that SkillRise may share your progress, attendance, and completion data with that Sponsor as a condition of your scholarship/funding.
Payment: For non-sponsored courses, you agree to pay the listed fees. All fees are non-refundable unless stated otherwise in our Refund Policy.
No Guarantee: We do not guarantee that completing a course will result in accreditation, employment, or a specific salary increase.

B. For Instructors

Note: Your relationship with SkillRise is further governed by the separate Instructor Terms of Service signed during your onboarding.

Content Submission: You acknowledge that you do not have direct access to upload content to the platform. You agree to submit all course materials (video, text, assets) to SkillRise Administrators in the format and timeline agreed upon.
Accuracy of Materials: You warrant that all information, facts, and educational materials provided to SkillRise for upload are accurate, up-to-date, and do not infringe on any third-party intellectual property rights.
Independent Contractor Status: Unless expressly stated otherwise in a written employment agreement, you act as an independent contractor. You are responsible for your own taxes and benefits.
License to Edit: You grant SkillRise the right to edit, format, and package your submitted content to fit the platform’s standards before uploading.

C. For Sponsors

1. Payment Obligations: You agree to pay all fees associated with the sponsorship packages or student seats you purchase. Failure to pay may result in the suspension of access for the Students you sponsor.
2. Beneficiary Selection: Unless SkillRise is contractually tasked with selecting beneficiaries, you are solely responsible for selecting the Students you wish to sponsor.
3. No Resale: You may not resell access to the course or charge Students a fee to access the content you have sponsored, unless explicitly agreed upon in a separate partnership agreement.
4. Student Data Privacy: You agree to handle any Student progress reports or data shared with you by SkillRise in compliance with all applicable data privacy laws (e.g., GDPR, FERPA). You shall not use this data for marketing purposes or harassment.

Fees, Payments, and Taxes

Student Fees: Pricing is listed at checkout. We reserve the right to change pricing at any time.
Instructor Compensation: Instructors will be compensated according to the terms outlined in the Instructor Terms of Service or Revenue Share Agreement.
Sponsor Invoicing: Sponsors will be invoiced according to the specific Service Order or Grant Agreement.
Taxes: Each party is responsible for paying all federal, state, and local taxes associated with their use of the Services or income generated therein.

Intellectual Property Rights

Platform IP: The text, graphics, logo, code, and software of SkillRise are the property of the Company and are protected by copyright and trademark laws.
Educational Content: Ownership of the course content is determined by the Instructor Terms of Service. Generally, SkillRise retains a license to display, market, and sub-license the content to Students and Sponsors.
Copyright Infringement (DMCA): We comply with the Digital Millennium Copyright Act. If you believe your work has been infringed, please contact us at info.skillrise.ng

Prohibited Conduct

All Users agree NOT to:
1. Use the Services for any illegal purpose.
2. Share account credentials (e.g., a Student sharing a login to avoid paying for a second seat).
3. Reverse engineer, decompile, or disassemble any aspect of the Services.
4. Scrape, spider, or use automated means to access data.
5. Harass, abuse, or harm another person or group within the platform’s community features.

Disclaimers

The Services are provided on an “AS IS” and “AS AVAILABLE” basis.
- No Accreditation: Unless explicitly stated, SkillRise is not an accredited degree-granting educational institution.
- Content Validity: While we strive for quality, we do not warrant that the content provided by Instructors is entirely free of errors or reflects the most current academic consensus.
- Third-Party Links: The Services may contain links to third-party websites or services that are not owned or controlled by SkillRise.

Limitation of Liability

To the fullest extent permitted by law, SkillRise shall not be liable for:
1. Indirect, incidental, special, consequential, or punitive damages.
2. Loss of profits, data, use, or goodwill.
3. Damages resulting from your access to or use of (or inability to access or use) the Services.
In no event shall the Company’s aggregate liability exceed the greater of one hundred U.S. dollars ($100) or the amount you paid the Company in the past six months.

Indemnification

You agree to defend, indemnify, and hold harmless SkillRise, its officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with your violation of these Terms or your use of the Services.

Termination

- By Company: We may terminate or suspend your account immediately for breach of these Terms.
- By Sponsor: If a Sponsor terminates their relationship with SkillRise, the Students associated with that Sponsor may lose access to paid content unless they choose to self-fund.
- Effect of Termination: Upon termination, your right to use the Services will immediately cease.

Governing Law and Dispute Resolution

- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is incorporated.
- Arbitration: Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration seated in Nigeria, in accordance with the rules of [Arbitration Body, e.g., ICC / LCIA / AAA], except that either party may bring qualifying claims in small claims court.
- Class Action Waiver: You agree to resolve disputes on an individual basis and waive the right to participate in a class action.

Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Services constitutes acceptance of the new Terms.
